Regulation D

Regulation D is SEC regulation that allows some companies, usually smaller ones, to sell equity or debt securities, in order to raise capital, without registering those securities with the SEC.
Regulation D allows companies to lower their costs, by avoiding costs associated with an Initial Public Offerings.

Regulation D is often called just "Reg D."
