Preliminary Prospectus is a document filled and published by the underwriter company, in order to provide information to prospective shareholders about company’s financial statements, business description, management and all other relative information.
Preliminary prospectus is also called “red herring,” because of SEC’s requirement to be printed on the left side of the cover with red ink.
